Freshfields advised Yokohama on €2bn TWS acquisition

Transaction team led by the London-based firm’s Japan practice
London - Freshfields Bruckhaus Deringer has advised Yokohama Rubber on its €2-billion acquisition of Trelleborg Wheel Systems (TWS), the London-based law firm said 29 March.
The transaction is to be effected via a share purchase of 100% shares in TWS from Trelleborg AB, noted a release from Freshfields.
"A small part of the purchase price is subject to an earnout," according to the firm’s statement issued 29 March.
A large global and multidisciplinary Freshfields team advised on the transaction, led by the firm’s Japan practice, it added.
TWS manufactures and sells off-highway tires for agricultural and industrial machinery.
The acquisition is expected to complete in the second half of 2022, subject to meeting competition law requirements of the EU and other countries.
